Due diligence is the process of investigating a company prior to a transfer of equity. The investigation aims to identify risks of material interest to an investor or acquirer of a business. URS has the expertise to provide due diligence assistance to support transactions whether acquiring or divesting an asset.
Typical services we provide include:- Background Studies and Desktop Research – identification of site issues and potential sources of historical and current environmental risk.
- Data Room Services – attendance at data room reviews during a defined disclosure phase to quickly and efficiently assess environmental information for the purchaser. We can also prepare the environmental liability portion of the data room and disclosure documents for the seller.
- Regulatory Reviews – compliance review of the business against regulatory requirements.
- On site Assessments (Phase 1 Assessment) – direct observation of the operations, sensitive environmental receptors and on site conditions.
- Intrusive Sampling (Phase 2 Assessment) – further investigation for impacted soil and groundwater, air contamination, asbestos containing materials, or other hazardous substances may be conducted, following an initial or Phase 1 Assessment.
